Updating is mandatory. As with all software, new versions fix bugs and security issues. You won't lose anything if you do it correctly and the time it will take depends on your skill level.

Upgrading is explained in the manual. To resolve the fatal error enable debug mode - http://coppermine-gallery.net/tutorial/debug_mode.php

Look, to update you follow the update instructions in the manual.
To fix the fatal error you need to enable debug mode and see what the actual error is.

The two tasks are unrelated.

Nibbler already told you where: you're suppossed to read the manual. The one that comes with coppermine. The one that is available online as well. As you appear to be expecting to be spoon-fed, here's a deep link for you: http://coppermine-gallery.net/demo/cpg14x/docs/index.htm#14

That's why the words "or better" are there. They mean: version cpg1.4.0 or any newer version. Your version cpg1.4.5 is a better (newer) version. Stop playing games - RTFM! I'm not going to continue sppon-feeding you. Send me $500, and I'll read you the documentation over the phone and will explain everything. If you're not ready to spend this amount, do the reading for yourself. >:(
